This document is an electronic record under the Information Technology Act, 2000 and rules made thereunder, as amended by the Information Technology (Amendment) Act, 2008. It is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, read with the Consumer Protection (E-Commerce) Rules, 2020, mandating the publication of Terms of Use, Privacy Policy, and User Guidelines.

Accessing or using the website www.grest.in (hereinafter referred to as the "Website") implies that You ("User", "Buyer", "Seller", or "Client") have read, understood, and accepted these Terms and Conditions ("Terms"). These Terms govern all business transactions, listings, and activities on the Website, operated by Radical Retail Private Limited ("Company", "We", "Us", "Our"), having its registered office at Khasra No. 34/22, Ground Floor, NK Tower, Kanhai Road, Sector-45, Gurugram, Haryana-122003, CIN: U62013HR2026PTC141594.

2. Definitions

• "Buyer" or "Customer" – Any person, entity, or business purchasing or intending to purchase used/pre-owned devices or services via the Website.
• "Seller" – Any individual, retailer, or business entity listing or selling used/pre-owned electronic devices or accessories on the Website.
• "Products" – Includes used, refurbished, or pre-owned electronic gadgets, wearables, laptops, tablets, and related accessories offered through the Website.
• "Services" – Includes platform access, product listing, quality inspection, valuation, delivery, and trade-in facilitation services.
• "User" – Collectively refers to Buyers, Sellers, and any person accessing or using the Website.
• "Agreement" – Refers to these Terms, Privacy Policy, Seller Policy, and Warranty Disclaimer collectively.

3. Scope and Nature of Services

The Company operates an online platform facilitating:

1. Sale and Purchase of pre-owned/refurbished gadgets;
2. Exchange/Trade-in of used devices;
3. B2C and B2B transactions;
4. Logistics and valuation support; and
5. Refurbishment and limited warranty services.

Except for products marked as "Sold by Grest" or "Grest Certified", the Company acts purely as an intermediary under Section 79 of the Information Technology Act, 2000.

All third-party transactions are governed by these Terms and applicable commercial laws.

4. User Registration and Account Responsibilities

1. Users must register by providing valid contact and business details.
2. You are responsible for maintaining confidentiality of your login credentials and all activities under your account.
3. The Company may suspend or terminate accounts engaged in fraud, misrepresentation, or policy violations.
4. Sellers dealing in B2B transactions must provide valid GSTIN and comply with Indian tax regulations.

5. Sale, Purchase, and Trade-in Policy

5.1 Product Listings

• Product details, condition, and specifications must be accurate and complete.
• Listings may be classified as Excellent, Good, or Fair based on standardized evaluation.
• Products must not be stolen, counterfeit, blacklisted, or under finance liens.

5.2 Pricing and Payments

• Prices are in INR and inclusive of applicable taxes.
• The Company reserves the right to alter pricing due to market conditions, errors, or regulatory changes.
• Payment shall be made through secure online gateways, NEFT, UPI, or wallet systems.

5.3 Delivery and Inspection

• Products are subject to quality inspection before dispatch.
• The Company may engage third-party logistics for collection and delivery.
• In trade-in cases, the final valuation will be confirmed post-physical inspection.

6. Refund, Return, and Cancellation Policy

1. Return Window: Returns are accepted within 7 days from delivery for defective, damaged, or incorrect items.
2. Condition: The product must be unused, untampered, and in original packaging with serial identifiers intact.
3. Refund Timeline: Refunds (if approved) shall be processed within 7–10 working days via the original payment mode.
4. Cancellation: Pre-dispatch cancellations may be allowed at the Company's discretion.
5. Non-returnable items: Devices sold "as-is", under "Final Sale", or "Bulk Purchase" categories are non-returnable.

7. Seller Policy

The following terms apply specifically to Sellers listing or transacting on the Grest platform:

7.1 Seller Eligibility

• Seller must be an Indian resident or entity with valid ID proof, business registration, and GST (if applicable).
• Seller warrants that all devices listed are genuine, lawfully owned, and free from encumbrances.

7.2 Listing Obligations

• Product information must be factual and accurately represent the physical and functional condition.
• IMEI/Serial numbers must be genuine and verifiable.
• Seller shall not list counterfeit, stolen, or non-functional devices.

7.3 Transaction and Payment

• Payments to Sellers are processed post-delivery confirmation and satisfactory inspection.
• Any fraudulent or misdeclared listings will lead to cancellation and possible legal action.
• Commission, service charges, and applicable taxes shall be deducted as per Seller agreement or platform policy.

7.4 Compliance and Legal Obligations

• Seller must comply with the Consumer Protection (E-commerce) Rules, 2020, IT Act, 2000, and GST laws.
• Seller agrees to cooperate with the Company in case of buyer disputes or regulatory inquiries.
• Seller shall indemnify the Company against any third-party claims, losses, or penalties arising from violations, false declarations, or infringement of rights.

7.5 Listing Removal and Termination

• The Company reserves the right to delist or suspend Sellers found engaging in fraudulent, misleading, or unethical practices.
• Repeated violations may lead to permanent account termination and legal recourse.

8. Warranty Disclaimer

1. Nature of Products

All used/pre-owned devices sold via the Website are previously owned products and may show signs of use. The Company makes no representation regarding original manufacturer warranty unless expressly stated.

2. Limited Warranty for Grest-Certified Devices

• Products listed as "Grest Certified" may carry a limited warranty period (e.g., 3 to 6 months) as specified on the product page.
• The warranty covers functional defects only (hardware/software) and excludes physical or liquid damage, accidental breakage, or unauthorized repairs.
• Warranty claims must be made through the official support channel and are subject to inspection.

3. No Warranty for Non-Grest Devices

• The Company does not warrant products sold directly by third-party Sellers.
• Buyers are encouraged to verify device condition and authenticity prior to purchase.

4. Exclusions

Warranty does not cover:

• Normal wear and tear;
• Accessories (chargers, cables, headphones, etc.);
• Damage from mishandling, power fluctuations, or modifications;
• Software, data, or third-party app issues.

5. Limitation of Remedy

The Company's sole obligation under warranty is limited to repair, replacement, or refund at its discretion. No liability shall arise for indirect, incidental, or consequential damages.

9. Data Protection and Privacy

The Company follows the principles of the Digital Personal Data Protection Act, 2023, ensuring that:

• Personal data is processed lawfully, transparently, and securely;
• Sensitive data (such as KYC, IMEI, payment details) is encrypted;
• Data is shared only with trusted partners and authorities when required by law.

10. Intellectual Property Rights

All intellectual property rights including trademarks, logos, and content of the Website belong to Radical Retail Pvt. Ltd. or its licensors. No part of this Website may be copied, reproduced, or distributed without prior written permission.

11. Force Majeure

Neither Party shall be liable for any delay or failure caused by circumstances beyond reasonable control, including natural calamities, internet outages, war, strikes, or governmental actions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of courts at Gurugram, Haryana. The Parties shall attempt amicable settlement before pursuing legal proceedings.

13. Modifications

The Company reserves the right to amend these Terms, Seller Policy, or Warranty Disclaimer at any time. Revised terms shall be effective upon publication on the Website. Continued use constitutes acceptance.
